4. Client Responsibilities

This may include business processes, pricing, policies, workflows, customer communication standards, training materials, technical access, system credentials, approval rules, compliance requirements, and internal operating procedures.
Clients are also responsible for reviewing, approving, and supervising the use of AI systems in their business, especially where outputs may affect customers, employees, legal matters, healthcare matters, financial information, regulated workflows, or sensitive decisions.
Omnexa is not responsible for errors, delays, compliance issues, or system behavior caused by inaccurate information, incomplete instructions, unauthorized access, third-party platform changes, or misuse of deployed systems.
5. Account Access and Security
Where Omnexa requires access to client tools, platforms, accounts, APIs, databases, CRMs, communication channels, or other systems, clients must ensure that such access is authorized and appropriate.
Clients are responsible for maintaining the security of their own accounts, passwords, internal systems, and user permissions.
Omnexa may recommend best practices for access control, but the client remains responsible for managing internal authorization, employee access, and permissions within their own organization.
6. Acceptable Use
You agree not to use Omnexa's website, services, AI systems, or automation solutions for unlawful, harmful, abusive, deceptive, fraudulent, or unauthorized purposes.
You must not use Omnexa systems to violate applicable laws, infringe intellectual property rights, send unlawful communications, misuse personal data, bypass security controls, interfere with third-party systems, or process information you are not legally authorized to use.
Omnexa reserves the right to suspend or terminate access to services if we believe the services are being misused or used in a way that may create legal, security, reputational, or operational risk.
7. AI Systems and Outputs
Omnexa builds AI-powered systems designed to assist businesses with communication, automation, workflow execution, decision support, and operational tasks.
AI systems may generate responses, summaries, recommendations, classifications, actions, or workflow outputs based on connected data, training materials, system instructions, user input, and business rules.
While Omnexa designs systems with care, AI-generated outputs may not always be complete, accurate, appropriate, or suitable for every situation.
Clients remain responsible for reviewing and supervising AI outputs, especially in sensitive, regulated, high-risk, legal, financial, healthcare, employment, or customer-impacting contexts.
Omnexa does not guarantee that AI systems will be error-free, uninterrupted, or suitable for every possible use case.
8. Data and Privacy
Your use of Omnexa's services is also governed by our Privacy Policy.
Clients retain ownership of the business data, customer data, documents, workflows, and materials they provide to Omnexa, unless otherwise agreed in writing.
Omnexa may process client data only as necessary to provide, improve, support, monitor, secure, and maintain the agreed services.
Clients are responsible for ensuring that any data provided to Omnexa has been collected, shared, and processed lawfully, and that they have the necessary permissions, notices, consents, or legal basis required for such processing.
9. Third-Party Tools and Integrations
Omnexa systems may connect with third-party tools, platforms, APIs, CRMs, communication services, email platforms, calendar systems, voice providers, payment tools, databases, hosting providers, or other external services.
Omnexa does not own or control these third-party platforms and is not responsible for their availability, performance, pricing, security, outages, policy changes, API limitations, data practices, or service interruptions.

11. Fees and Payment
Fees, payment schedules, billing terms, renewal terms, and cancellation terms will be specified in the applicable proposal, invoice, service agreement, or written contract.
Unless otherwise agreed in writing, all fees must be paid on time according to the agreed payment terms.
Omnexa may suspend or delay services if payments are overdue, subject to any terms stated in the relevant service agreement.
Third-party software, hosting, API usage, communication costs, model usage, messaging fees, or platform charges may be billed separately or passed through to the client where applicable.
12. Service Availability and Support
Omnexa aims to provide reliable, secure, and high-performing services. However, we do not guarantee uninterrupted availability unless a specific service level agreement is included in a signed contract.
Services may be temporarily unavailable due to maintenance, updates, technical issues, third-party outages, security events, API limits, infrastructure changes, or other factors outside Omnexa's control.
Support levels, response times, monitoring, reporting, and maintenance obligations will be defined in the relevant service agreement.
13. Results and Performance
Omnexa designs AI systems and automation solutions to improve business operations, response times, workflow efficiency, customer experience, and team capacity.
However, results may vary based on business processes, data quality, implementation scope, team adoption, customer behavior, industry conditions, third-party tools, and other factors outside Omnexa's control.
Any examples, statistics, case studies, performance claims, or projected outcomes shown on this website are for illustrative or informational purposes only and should not be interpreted as guaranteed results unless confirmed in a signed agreement.
14. Security and Compliance
Omnexa aims to follow responsible security and operational practices when designing, deploying, and managing AI systems.
However, no digital system, integration, AI tool, or communication channel can be guaranteed to be completely secure.
Clients are responsible for informing Omnexa of any industry-specific legal, regulatory, security, or compliance requirements before implementation.
Unless explicitly stated in a signed agreement, Omnexa does not claim that any system is certified, audited, or compliant with a specific regulatory framework.
15. Confidentiality
Where confidential business, technical, operational, or customer information is shared between Omnexa and a client, both parties should treat such information with reasonable care and use it only for the purpose of providing or receiving the agreed services.
Additional confidentiality obligations may be included in a separate service agreement, non-disclosure agreement, or contract.
16. Termination
Either party may terminate services according to the terms stated in the relevant service agreement or written contract.
Upon termination, client access to active services may cease, and Omnexa may remove, disable, or disconnect systems as required.
Data export, retention, deletion, handover, and post-termination support will be handled according to the applicable service agreement, data retention policy, or written arrangement.
Sections relating to intellectual property, payment obligations, confidentiality, limitation of liability, data responsibilities, and governing law may continue to apply after termination.
17. Limitation of Liability
To the fullest extent permitted by applicable law, Omnexa shall not be liable for any indirect, incidental, special, consequential, punitive, or economic damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of data, reputational damage, service interruptions, system errors, AI output errors, or third-party platform failures.
Omnexa's total liability for any claim related to its website, services, systems, or materials shall be limited to the amount paid by the client to Omnexa for the specific service giving rise to the claim, unless otherwise required by applicable law or agreed in writing.
18. Indemnity
You agree to indemnify and hold Omnexa harmless from claims, damages, losses, liabilities, costs, or expenses arising from your misuse of the services, breach of these terms, violation of applicable laws, unauthorized use of data, infringement of third-party rights, or failure to comply with your own legal, regulatory, or contractual obligations.
